1. Agreement to These Terms

These Terms & Conditions ("Terms") govern your access to and use of the website and services provided by Rise Tech Inc., doing business as Rise Data Labs ("Rise Data Labs," "RDL," "we," "us," or "our") (together, the "Services"). They apply to everyone who uses the Services: visitors, experts and contributors, and client contacts. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to both you and that entity.

Specific projects, engagements, or client relationships may have additional terms. Where a separate signed agreement conflicts with these Terms, the separate agreement controls for that relationship.

2. Who We Are and What We Provide

RDL builds AI evaluation benchmarks, datasets, and data pipelines for our clients. The Services described on this website may change, and we may add, modify, or discontinue features at any time.

3. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. By using the Services, you acknowledge that we process personal information as described there. The Privacy Policy is incorporated into these Terms by reference.

4. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

5. Your Account

Some features require an account. You agree to provide accurate, complete, and current information, to keep it up to date, and to keep your credentials secure. You may not use another person's identity or account, and you are responsible for all activity under your account. Notify us promptly at security@risedatalabs.com if you suspect any unauthorized use.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, harmful, or fraudulent purpose
  • Infringe or misappropriate the intellectual property or other rights of others
  • Upload or transmit malware or any code intended to disrupt or harm systems
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services, other accounts, or related systems
  • Attempt to obtain another user's password, account, or security credentials
  • Send spam or run automated scripts that interfere with the Services
  • Reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law
  • Misrepresent your identity or affiliation

7. Data Protection and No Scraping

The Services and their content, including any benchmark, dataset, evaluation, or marketplace information, are proprietary to RDL and our clients. You may not use automated scripts, crawlers, scrapers, or similar technologies to access, bulk-collect, index, or extract data or content from the Services, except with our prior written permission. We may take technical and legal measures to prevent and address such activity.

8. Expert Participation and Interviews

If you apply to, interview for, or complete work through our expert or contributor program, the following also applies:

  • Interviews and recording. We may record your interviews, including audio, video, and platform interactions, along with your responses, and generate transcripts. By taking part, you consent to this recording and processing as described in our Privacy Policy.
  • Interview conduct. You agree to keep interview questions, content, and materials confidential, to provide your own original work without unauthorized third-party assistance, and not to copy or remove interview content from our platform except as permitted.
  • Work sessions. Where we monitor active work sessions on a project (for example, screenshots, activity, and time on task), we tell you at project onboarding, as described in our Privacy Policy.
  • No guarantee. Taking part in an interview or project does not guarantee an offer, ongoing work, or any particular outcome.

9. Intellectual Property

The Services, including all content, benchmarks, software, text, graphics, logos, and trademarks made available through this website, are owned by RDL or our licensors and are protected by intellectual property laws. These Terms do not grant you any right to our trademarks or content except as expressly permitted.

Your submissions. If you send us feedback, suggestions, or other materials through the website (for example, via a contact form), you grant RDL a non-exclusive, worldwide, royalty-free license to use them to operate and improve the Services. You represent that you have the right to provide such materials.

Work-product ownership. To the extent you create responses, recordings, submissions, or other work product through projects with us, RDL owns all rights, title, and interest in that content and the results derived from it, and you assign those rights to RDL. We use it to provide and improve our services and to deliver datasets and evaluations to our clients.

10. Anti-Competitive Use

You may not use the Services, or any data, content, or benchmarks obtained from them, to build, train, support, or improve any product or service that competes with RDL, or to help anyone else do so.

11. Third-Party Links and Services

The Services may link to or integrate third-party websites and services. We are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

12. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

13. Limitation of Liability

To the fullest extent permitted by law, RDL and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. To the fullest extent permitted by law, our total liability for all claims relating to the Services will not exceed USD 100.

14. Indemnification

You agree to indemnify and hold harmless RDL and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected to your use of the Services or your breach of these Terms.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, including for any breach of these Terms. Provisions that by their nature should survive termination will survive, including Sections 7, 9, 10, 12, 13, 14, and 16.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved by confidential, binding arbitration on an individual basis under the rules of JAMS then in effect. You and RDL waive any right to a jury trial and any right to participate in a class action. Either party may still seek injunctive or other equitable relief from a court to protect its intellectual property or confidential information.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide additional notice where required. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

18. Miscellaneous

These Terms are the entire agreement between you and RDL regarding the Services and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
